§ 01Agreement

These Terms of Service form a binding agreement between you (or the organisation you represent) and AbteeX AI Labs Limited, a New Zealand-registered company, regarding your access to and use of LumynaX (also known as Te Mārama), including APIs, consoles, and related services (the Service).

By accessing the Service you confirm you have authority to bind your organisation, and that you agree to these terms together with our Privacy Policy and Responsible Use Policy.

§ 02Access & accounts

Access is granted by invitation or via an approved deployment agreement. You are responsible for safeguarding credentials, for all activity on your account, and for ensuring that any users you invite are aware of and comply with these terms.

You must be at least 18 years old and legally able to enter contracts in your jurisdiction.

§ 03Permitted use

You may use the Service to build, evaluate, and operate products and internal tools consistent with these terms and the Responsible Use Policy. Enterprise customers may use the Service across their organisation under the scope of their signed agreement.

§ 04Restrictions

• No use for unlawful surveillance, weapons development, or critical-infrastructure sabotage.
• No circumvention of rate limits, safety filters, or audit logging.
• No reverse engineering of weights, routing logic, or alignment layers.
• No scraping, redistribution, or resale of model outputs without written permission.
• No impersonation of AbteeX AI Labs or misrepresentation of outputs as human-produced where disclosure is legally required.

§ 05Your content

You retain all rights in inputs you submit and outputs generated for you. You grant us a narrow licence to process inputs and outputs solely to operate, secure, and support the Service — never to train models unless you explicitly opt in (see Privacy Policy §4).

§ 06Fees & billing

Usage-based pricing is published at abteex.com/pricing. Enterprise pricing is set by deployment agreement. Fees are billed monthly in arrears in NZD, USD, or EUR. Overdue invoices accrue interest at 1.5% per month from the due date.

§ 07Intellectual property

LumynaX, Te Mārama, the wordmark lockup, all weights, routing logic, documentation, and related materials are and remain the property of AbteeX AI Labs Limited. Nothing in these terms transfers ownership of our intellectual property to you.

§ 08Warranty disclaimer

The Service is provided on an "as is" and "as available" basis. Except as expressly stated, we disclaim all warranties — including fitness for purpose, merchantability, and non-infringement — to the maximum extent permitted by law. AI outputs may contain errors; verify before relying on them in consequential settings.

§ 09Liability

To the maximum extent permitted by law, our total liability arising out of or related to these terms is limited to the fees you paid to us in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or incidental damages. Nothing in this clause limits liability for fraud, wilful misconduct, or death or personal injury caused by negligence.

§ 10Termination

Either party may terminate these terms with 30 days' written notice. We may suspend or terminate immediately for material breach, unlawful use, or risk to the Service. On termination, your access ceases and we delete your content on the schedule set out in the Privacy Policy.

§ 11Governing law

These terms are governed by the laws of New Zealand. Disputes are submitted to the exclusive jurisdiction of the Auckland High Court, subject to any mandatory rights you have as a consumer in your place of residence.
